# About Pre-Market

P2P trade token allocations pre-TGE

The term **Pre-Market** was first introduced and popularized in crypto by **Whales Market**. It refers to peer-to-peer trading of token allocations before the official Token Generation Event (TGE). Today, Whales Market stands as the leading pre-market DEX platform with **over $300M** in trading volume.

### 1. The idea behind Pre-Market on Whales Market

The novel idea behind Pre-Market on Whales Market is centered on the inherent risks of peer-to-peer cryptocurrency trading.

Formal methods like social groups, private messages, or decentralized platforms have long been known as the major methods to facilitate OTC trading within the crypto space. Despite being recognized for the accessibility and convenience they have proven, the negative impact of the lack of robust management on the asset transferring procedure has. This exposes traders to scams and fraud, where sellers may fail to deliver promised tokens.

The main reason for this is because these tradings don't require any commitment amongst the parties involved, as the trading routes between them are not porous and most likely based on the routes between both parties

Whales Market addresses this issue by bringing OTC trading onto a single platform. This allows buyers and sellers to facilitate mutually agreed upon on-chain transactions. Capital remains locked in smart contracts and is only released to the parties upon successful transaction settlement. This advancement not only streamlines the trading process but also significantly reduces the risk of financial losses due to deceptive practices.

***

### 2. How Whales Market revolutionizes Pre-Market trading

While Pre-Market trading bring a unique opportunity to gain early access to high-potential pre-TGE tokens, the traditional peer-to-peer (P2P) methods for these deals are risky. Historically, these trades were conducted in social groups or private chats, lacking essential safeguards and leaving traders vulnerable to scams, fraud, and failed token deliveries.

Whales Markets **revolutionizes this process with smart contracts,** facilitating **a mutually agreed on-chain transaction** for both buyers and sellers. This innovation not only makes trading **more accessible** but also significantly **reduces the** risk **of financial loss due to fraud**.

***

### 3. How it works

1. **Seller lists** pre-TGE token allocations on Whales Market.
2. **Buyer accepts** the order, with both parties locking collateral in smart contracts.
3. Settlement occurs **on-chain** once conditions are met, ensuring secure delivery of tokens after TGE.

Please follow the instructions carefully in this section.

***

### 2. Why linking your wallet is important

**1. Cross-Chain Settlement**

Whales Market calculates incentive and referral rewards based on your **total trading volume across 8+ supported networks**. Linking wallets allows the system to combine your activity from all networks, ensuring accurate reward distribution.

**3. Staking Program**

$WHALES stakers receive trading fees waivers, based on the amount of $xWhales they hold.

* Since trades can occur on **Solana, EVM-compatible blockchains, Bitcoin**, and more, all relevant wallets must be linked for the discount to apply across your activity.
* For more details, see: [*Discount for Stakers*](/staking-mechanism/discount-for-stakers).

***

### 3. How to link your wallet

1. **Connect Your Wallet**
   * Open **Whales Pro Dashboard**.

# How To Buy Token Allocation

How buying token allocation works on Whales Market.

There are **2 ways** to buy token allocations:

* [Create Your Own Buy Order](/pre-market/how-to-buy-token-allocation/create-your-own-buy-order)
* [Fill An Existing Sell Order](/pre-market/how-to-buy-token-allocation/fill-an-existing-sell-order)

# Create Your Own Buy Order

Create your own buy order with your custom token price.

If you're seeking a different amount than what's offered, feel free to **create your buy offer**. This function allows you to **set your** terms regarding **price and quantity**, giving you more control over the transaction.

### Create your own buy order

**Following these steps:**

1. Click **Create Order**

<figure><img src="/files/fBWJiPcH9VxNLAn8A8IX" alt=""><figcaption></figcaption></figure>

2. Enter the price and amount.

<figure><img src="/files/lceqUk1WD94vmT0LVIeV" alt=""><figcaption></figcaption></figure>

3. Confirm Transaction

<figure><img src="/files/pBylso9uYjpRWEHiA1nc" alt=""><figcaption></figcaption></figure>

4. Close order (Optional)

Additionally, Pre-markets' smart contracts **enable order creators to close their orders before they are fully filled**, allowing them to **reclaim any remaining unfilled deposits.**

This means you can **close your order at any time**, **preventing any further fills by sellers**, and **retrieve your funds** deposited for purchasing tokens.

In the **My Open Orders** section, click **Close**.

<figure><img src="/files/d0amvJNNYsyyYkS9xCnA" alt=""><figcaption></figcaption></figure>

{% hint style="warning" %}
Please note, you can **only reclaim the unfilled deposit amount**, not the portion allocated for the filled orders from sellers - the amount you were supposed to pay for the seller's filled order.
{% endhint %}

{% hint style="info" %}
If nobody fills your order after TGE, you can go to the dashboard and close your order.
{% endhint %}

### FAQ

<details>

<summary>What does "create your own buy order" mean?</summary>

"Creating your own buy order" means you are setting a custom order with your preferred token price and quantity. Instead of buying an existing order, you are making an offer and waiting for a seller to match it. This is a good option if you want to buy tokens at a specific price that is not currently available.

</details>

<details>

<summary>Can I set my own buy price?</summary>

Yes. The main purpose of creating a new buy order is to allow you to set the price you are willing to pay. You are free to enter the price and quantity of tokens you want, and the system will list your order until a seller agrees to match it.

</details>

<details>

<summary>Is the collateral different in this case?</summary>

The process for collateral remains the same. When you create a buy order, your collateral will be deposited and locked to ensure you have the funds ready to complete the transaction once a seller matches your order. This amount will be returned to you if you close the order or if no seller matches it.

</details>

<details>

<summary>Can I cancel my order after creating it?</summary>

Yes. You can close your order at any time as long as it has not been completely filled. This gives you full control over your transactions and allows you to retrieve your deposited funds.

</details>

<details>

<summary>How will my order be filled?</summary>

Depending on the order type you choose, your order can be filled as a Partial Fill or a Full Fill.

* Partial Fill: Your order can be filled by multiple sellers until the total amount is reached.
* Full Fill: Your order must be completely filled by a single seller in one transaction.

</details>

# Fill An Existing Sell Order

Fill order from someone who is selling their token allocation.

The fastest way to buy allocations is to fill an order that another user has listed.

Find an order with **a price that you want to buy** and **make a deposit**.

Your deposited funds will be sent to and stored in an escrow secured by **an immutable smart contract,** and will **only be transferred to the seller** when they <mark style="color:$success;">**`SETTLE`**</mark> the order, meaning when the purchased tokens are successfully delivered to you.

{% hint style="warning" %}
Please note that after you fill an order, the collateral you deposited will be locked and you cannot take any action with it until TGE. For more details, check the [**Settlement Rules**.](/pre-market/settlement-rules)
{% endhint %}

### Fill an existing sell order

**Following these steps:**

1. Go to the Pre-Market Home Page, browse the available listings, and select the token you want to trade.

<figure><img src="/files/DxvLnNkOsupOSPmIDrKy" alt=""><figcaption></figcaption></figure>

2. Click **Buy** to start your purchase, then enter the amount and confirm by clicking **Buy** again.

<figure><img src="/files/0gjZrlAlA9Q36Ow5dn50" alt=""><figcaption></figcaption></figure>

3. Fill Order Threshold: 5%

Once buying the listed order, users have to fill at least 5% amount. For example, to complete the order of 15,000 $XPL, the buyer has to fill a minimum of 750 token.<br>

4. Confirm the collateral deposit and sign the transaction in your wallet.

<figure><img src="/files/VSLrpBby9Hb9SD9ig47W" alt=""><figcaption></figcaption></figure>

4. Reload and check your filled orders.

<figure><img src="/files/bX7C1J64D4sNcww4Vl7e" alt=""><figcaption></figcaption></figure>

***

### FAQ

<details>

<summary>What is "filling an existing sell order," and how is it different from creating a new buy order?</summary>

"Filling an existing sell order" means you are immediately buying tokens from a seller who has already listed them. This is the fastest way to buy.

</details>

<details>

<summary>Where does my money go when I fill a buy order?</summary>

Once you fill an order, your funds are sent to an escrow secured by an immutable smart contract, and they are held safely there. The funds are only released to the seller when the order is settled, which means the tokens have been successfully delivered to you. This ensures a safe transaction for both the buyer and the seller.

</details>

<details>

<summary>What is collateral, and why do I need to deposit it?</summary>

Collateral is the amount of money you must deposit to ensure you will complete the transaction. After you fill an order, this amount is locked and you cannot use it until the order is settled. If the seller fails to deliver the tokens, you will get your collateral back along with a compensation fee, protecting you as a buyer.

</details>

<details>

<summary>What types of orders are there when I "fill an existing sell order"?</summary>

There are two main types of orders:

* Partial: Multiple buyers can collectively fill a single sell order until the entire amount is sold.
* Full: A single buyer must fill the entire sell order in one transaction.

</details>

<details>

<summary>How do I check the orders I have successfully filled?</summary>

After completing the steps, you can check your filled orders by going to the My Orders page and selecting the My Filled Orders tab. This is where you can track all the orders you have successfully completed.

</details>

# Claim Collateral

Claim your collateral from sellers if they ghosted you

<figure><img src="/files/Q6l3L4jhSm2aKwSNGpUa" alt=""><figcaption></figcaption></figure>

If the seller ghosts you – meaning **they do not settle your order** or send the token allocation you purchased – you have the option to claim your and the seller collateral as a compensation amount.

The compensation amount will be **equal to the funds you deposited** to buy the token allocation, **taken from the seller's deposited collateral**.

{% hint style="warning" %}
Please note, you **can only claim your collateral** if the seller is fails to deliver tokens after the settlement time ends.
{% endhint %}

***

### FAQ

<details>

<summary>When can I cancel an order?</summary>

You can only cancel an order if the seller is OVERDUE on settlement. This means you can cancel after the settlement deadline has passed and the seller has still not sent you the tokens you purchased.

</details>

<details>

<summary>Will I get my money back if I cancel the order?</summary>

Yes. When you cancel, you will receive a full refund of the funds you deposited to buy the token allocation.

</details>

<details>

<summary>Do I get compensation if the seller "ghosts" me?</summary>

Yes. You will receive an amount of compensation equal to the funds you deposited, which will be taken from the seller's deposited collateral. This protects your interests when a seller fails to complete a transaction.

# How To Sell Token Allocation

How selling token allocation works on Whale Markets

There are **2 ways** to sell token allocations:

* [Create Your Own Sell Order](/pre-market/how-to-sell-token-allocation/create-your-own-sell-order)
* [Fill An Existing Buy Order](/pre-market/how-to-sell-token-allocation/fill-an-existing-buy-order)

# Create Your Own Sell Order

Create your own sell order with your custom token price.

In situations where the listed orders doesn't align with your price expectations, or if the order amount doesn't match what you're seeking, you're encouraged to **create your own sell order**. This option allows you to **define your own terms for price and quantity**, providing greater control over the transaction.

### **How to create your sell order**

**Following these steps:**

1. Click **Create Order**

<figure><img src="/files/AWOsBlo8pZFa11EBNEjQ" alt=""><figcaption></figcaption></figure>

2. Enter the price and amount.

<figure><img src="/files/qK9zBhhtx4FPdEl5O9uL" alt=""><figcaption></figcaption></figure>

3. Confirm Transaction

<figure><img src="/files/fjK96d6LorIzIiDDYvNt" alt=""><figcaption></figcaption></figure>

4. Close order (Optional)

Just as with the buy order, Whales Pre-markets' smart contracts **allow sellers to close their orders before they are completely filled,** enabling the **reclamation of any remaining unfilled collateral**.

This means you can **close your sell order at any time**, stopping any further fills by buyers, and retrieve the funds you deposited as collateral.

In the **My Open Orders** section, click **Close**.

For example: If you are selling 10,000 $SKATE at $0.005 per token and only 5,000 is filled, you can close order and claim back $25 remaining.

<figure><img src="/files/C40QnshY7ekGU0quI6pZ" alt=""><figcaption></figcaption></figure>

{% hint style="warning" %}
Please note, you can **only reclaim the unfilled deposit amount**, not the portion allocated for the filled orders from buyers.
{% endhint %}

{% hint style="info" %}
If nobody fills your offer after TGE, you can go to the dashboard and close your order.
{% endhint %}

### FAQ

<details>

<summary>What does "create your own sell order" mean?</summary>

"Creating your own sell order" means you are setting a custom order with your preferred token price and quantity. Instead of matching an existing buy order, you are making an offer and waiting for a buyer to fill it. This gives you full control over the price and amount of tokens you want to sell.

</details>

<details>

<summary>When will I receive my money?</summary>

You will receive your payment after a buyer fills your order and you have successfully delivered the tokens. The funds will be transferred to you once the transaction is settled, ensuring a secure process.

</details>

<details>

<summary>Why do I need to deposit collateral?</summary>

Collateral is the amount of money you deposit to guarantee that you will deliver the tokens to the buyer. This amount is locked and is only returned to you after the transaction is successfully completed. If you fail to deliver the tokens, this amount will be used to compensate the buyer.

</details>

<details>

<summary>Can I cancel my order after creating it?</summary>

Yes. You can close your order at any time as long as it has not been completely filled. This gives you the flexibility to manage your transactions and retrieve your deposited funds.

</details>

<details>

<summary>How will my order be filled?</summary>

Your order can be filled as either a Partial Fill or a Full Fill.

* Partial Fill: Your order can be filled by multiple buyers until the total amount is reached.
* Full Fill: Your order must be completely filled by a single buyer in one transaction.

</details>

# Fill An Existing Buy Order

Fill orders from someone who is buying token allocation.

The easiest way to sell token allocations is to find a buy order listed by another user.

Find an offer with **a suitable price** and **deposit collateral as a guarantee** that you will **deliver your token allocation to the buyers**.

Your deposited collateral will be **secured in a smart contract**, and you **can only reclaim it once you&#x20;**<mark style="color:$success;">**`SETTLE`**</mark>**&#x20;your order**, which means after **the tokens are successfully delivered to the buyers**.

{% hint style="warning" %}
Please note that after you fill an order, the collateral you deposited will be locked and you cannot take any action with it until TGE. For more details, check the [**Settlement Rules**.](/pre-market/settlement-rules)
{% endhint %}

### Fill an existing buy order

**Following these steps:**

1. Go to the Pre-Market Home Page, browse the available listings, and select the token you want to trade.

<figure><img src="/files/DxvLnNkOsupOSPmIDrKy" alt=""><figcaption></figcaption></figure>

2. Click **Sell** to start your sale, then enter the amount and confirm by clicking **Sell** again.&#x20;

<figure><img src="/files/UysR63tV1q4PljFhDrTL" alt=""><figcaption></figcaption></figure>

3. Fill Order Threshold: 5%

Once selling the listed order, users have to fill at least 5% amount. For example, to complete the order of 1,550 $XPL, the seller has to fill a minimum of 77.5 token.<br>

4. Confirm the collateral deposit and sign the transaction in your wallet.

<figure><img src="/files/ARCsuz3GCuU7WdoGXcaz" alt=""><figcaption></figcaption></figure>

4. Reload and check your filled orders.

### FAQ

<details>

<summary>What does "filling an existing buy order" mean?</summary>

"Filling an existing buy order" means you are selling your tokens by matching a buy order that is already available on Whales Market. This is the fastest way to sell because you don't have to wait for a buyer to match your order. Instead, you simply find an existing buy order and fill it.

</details>

<details>

<summary>When will I receive my money?</summary>

You will receive your payment after the order is SETTLED. This happens once you have successfully sent the tokens to the buyer, ensuring the transaction is complete.

</details>

<details>

<summary>Where do my tokens go after I fill the order?</summary>

After you fill the order, your tokens are sent to a secure smart contract. These tokens are only transferred to the buyer once they have made the payment and you have confirmed the transaction, ensuring you receive your money before the tokens are moved.

</details>

<details>

<summary>What types of orders are there when I "fill an existing buy order"?</summary>

Similar to buying, there are two main order types:

* Partial: Multiple sellers can collectively fill a single buy order until the full amount is reached.
* Full: A single seller must fill the entire amount of the buy order in one transaction.

</details>

# Settle Your Orders

Settle your order to claim both your collateral and the buyer’s, or risk losing your own collateral.

Ensure you **settle orders for buyers** to complete the trade, receive your payment, and reclaim your collateral before the settlement deadline.&#x20;

{% hint style="danger" %}
Be aware that **neglecting or intentionally ignoring to settle buyers' orders** will lead to consequences **after the deadline**.

**Once the settlement deadline has passed, buyers can claim compensation from your collateral. This means you risk losing your funds if you fail to settle in time.**
{% endhint %}

### How to settle your orders&#x20;

**Step 1: Connect Your Wallet**

* Use the wallet you originally used to create the order or fill the order.
* Ensure the wallet has the required tokens ready for transfer

**Step 2: Select Orders in Dashboard**

* Go to your **Dashboard**.

<figure><img src="/files/8o8IVdSpjI4HwvvX4USZ" alt=""><figcaption></figcaption></figure>

* Select the orders you want to settle

<figure><img src="/files/DLqX6z67eMFdkEV2CkQm" alt=""><figcaption></figcaption></figure>

**Step 3: Confirm and Approve Settlement**

* Double-check the total token amount required for settlement.
* Once you are sure of all the information, click on the confirmation box and click the **Settle** button.
* Approve the **smart contract request** in your connected wallet. This confirms the on-chain transfer to the buyer.

<figure><img src="/files/QcgB3Ycgg1gnm7oohW0w" alt=""><figcaption></figcaption></figure>

**Step 4: Wait for Confirmation**

* Once the blockchain confirms the transaction, the order status will update to **Settled**.
* Your collateral will be released, and the buyer will receive the agreed tokens

</details>

# Settlement Rules

What will happen at TGE Time?

***

### 1. Ideal Case

Definition: Everything works as expected at TGE.

#### Conditions (all must be true)

1. **Token live on Agreed Chain**\
   The token contract is deployed on the chain that the listing specified, and that’s the chain both Seller and Buyer are trading/expecting delivery on.<br>
2. **Claimable at settlement start**\
   As soon as settlement begins, the Seller can claim/unwrap/unlock the tokens (no portal downtime, no issuer pause).<br>
3. **Easy route to deliver**\
   If the token originated elsewhere, there’s a supported, healthy bridge/route to the Agreed Chain with normal fees and confirmations (no special setup, no custom SMC needed).

#### What users should expect

* Timer: 4-hour settlement window starts at Activation.
* Action: Seller sends tokens directly to Buyer’s address on the Agreed Chain and posts the tx hash.
* Result: Status moves to Settled once confirmations clear.
* <mark style="color:red;">Important Notes</mark>: In Pre-Market, the Seller may choose to either Settle (deliver tokens) or Default (do not deliver and lose collaterals). This option exists because TGE prices can move sharply; pre-market is price discovery, not a guaranteed forward.

***

### 2. Cross-Chain Settlement

Cross-Chain Settlement allows an order to be listed on one blockchain while the underlying asset originates from another blockchain.

* Listing Chain: The chain where the order is created and settled.
* TGE Chain: The chain where the original token exists.

This mechanism enables shared liquidity across chains while keeping assets native and fully backed. All cross-chain operations are powered by **LayerZero**. No synthetic value is created. Every wrapped token is backed 1:1 by locked assets.&#x20;

***

### 3. Risk Disclosures

In the event Whales Market cancels a pre-market trade, users are expected to understand and accept the associated risks and obligations.

#### 3.1 Buyer risks

**Case #1: Pre-market works perfectly without any issue at settlement**

If the TGE price is way too high than the token price you bought, a seller may default the order, and thus give up collateral to the buyer.

Example:

* Pre-market fill for Token A at $0.50.
* TGE prints around $1.50.
* Seller Defaults to capture the higher profits.
* Buyer receives their collateral plus the Seller’s collateral; no tokens are delivered.

<mark style="color:red;">Important Notes</mark>: If the settlement time is passed, the buyer has the right to cancel the order. If the buyers don’t cancel, the seller still has the right to settle tokens at any time until the order is either settled or cancelled.

**Case #2: If Pre-Market is cancelled**

The buyer will receive their collateral back.

#### 3.2 Seller risks

**Case #1: Pre-market works perfectly without any issue at settlement**

If a seller fails to settle within the settlement timeframe, it will grant buyers the right to cancel.

**Case #2: If Pre-Market is cancelled**

The seller will get their collateral back and forfeit any profits from selling tokens on pre-market

#### 3.3 Resell Buyer

**Case #1: Pre-market works perfectly without any issue at settlement**

* Resell buyers are a riskier party than others in a pre-market.&#x20;
* Once you buy a resell order, you will inherit the original buyer’s collateral and obligations.&#x20;
* If you buy a resell order at a high price (e.g 80% more than the original price) and TGE price is higher than the resell price, The seller has an option to default the order and thus the buyer might not get any profits from the trade<br>

**Case #2: If Pre-Market is cancelled**

The buyer will incur a loss in this situation.

For example:

* user A sells 1,000 tokens A for $0.5 per token => $500 collateral locked in contract
* Original buyer B buys 1,000 tokens at $0.5 per token A => $500 collateral locked in contract.
* user C buys a 1,000 tokens resell order at $0.9 per token A => Original Buyer B **receives $900 instantly.**
* If pre-market is cancelled, user A receives $500 collateral back and user C ONLY receives the original buyer B’s $500 collateral => User C **incurs a loss of $400.**

{% hint style="warning" %}
**Wait until TGE**: Neither sellers nor buyers can settle or cancel orders before the Token Generation Event (TGE).
{% endhint %}

{% hint style="warning" %}
The **4-hour countdown** starts only when the project’s token is officially listed on markets.
{% endhint %}

### FAQ

<details>

<summary>When does the settlement phase happen, and how long does it last?</summary>

The settlement phase begins when a project's token is officially listed on centralized (CEXs) or decentralized (DEXs) exchanges. This phase lasts for 4 hours

</details>

<details>

<summary>What happens if a Seller doesn't settle on time?</summary>

If the seller misses the 4-hour settlement deadline, their Order will become OVERDUE. The seller will lose their collateral, and it will be transferred to the buyer.

</details>

<details>

<summary>As a Buyer, what can I do if a seller doesn't settle?</summary>

If the seller misses the 4-hour settlement deadline, their Order will become OVERDUE. The seller will lose their collateral, and it will be transferred to the buyer.

</details>

<details>

<summary>What does a seller get after a successful settlement?</summary>

After a successful settlement, the seller will get their collateral back and receive the payment from the buyer.

</details>

<details>

<summary>Why can't I cancel or settle an order before TGE?</summary>

Neither sellers nor buyers can settle or cancel an Order before the TGE (Token Generation Event). The settlement process only begins once the project's token is officially listed on markets.

</details>

# Cross-Chain Settlement

Trade on one chain, settle on any chain

### Key Definitions

#### **Listing Chain**

The Listing Chain is the blockchain where:

* Orders are created
* The orderbook exists
* Settlement transactions are executed

Users interact with trades on this chain.

#### **TGE Chain**

The TGE Chain is the blockchain where:

* The original token supply exists
* The seller initially holds the real token

Tokens remain native to this chain.

### FAQ

<details>

<summary>What is the difference between a Listing Chain and a TGE Chain?</summary>

The Listing Chain is where the orderbook exists and trades are executed, while the TGE Chain is the native network where the original token supply is issued and held.

</details>

<details>

<summary>How does the system ensure wrapped tokens are not synthetic?</summary>

Every wrapped token is backed 1:1 by original assets locked in a secure smart contract on the TGE Chain, ensuring no value duplication.

</details>

<details>

<summary>What technology handles the cross-chain communication?</summary>

All cross-chain operations and secure messaging between networks are powered by the LayerZero protocol.

</details>

<details>

<summary>How does cross-chain settlement benefit liquidity?</summary>

It enables shared liquidity by allowing orders to be listed on one blockchain while the underlying assets remain native to their original chain.

</details>

<details>

<summary>Are trades executed on the TGE Chain or the Listing Chain?</summary>

Users interact with and settle all trades on the Listing Chain, though the underlying tokens originate from and return to the TGE Chain.

</details>

# How the Mechanism Works

* Seller holds tokens on the TGE Chain
* Seller lists an order on the Listing Chain
* When settling, tokens are bridged from TGE Chain to Listing Chain
* Wrapped tokens are minted on the Listing Chain at a 1:1 ratio
* Original tokens are locked in a smart contract on the TGE Chain

Value is preserved. No duplication occurs.

<figure><img src="/files/btCykOIHNpMSwaybXWy4" alt=""><figcaption></figcaption></figure>

***

### FAQs

<details>

<summary>How do tokens move from the TGE Chain to the Listing Chain?</summary>

When settlement begins, tokens are bridged via LayerZero, which triggers the locking of assets on the TGE Chain and the minting of wrapped tokens on the Listing Chain.

</details>

<details>

<summary>What is the minting ratio for wrapped tokens?</summary>

Wrapped tokens are minted on the Listing Chain at a strict 1:1 ratio. This ensures that every represented unit is fully collateralized by an original token.

</details>

<details>

<summary>What happens to my original tokens during the settlement?</summary>

The original tokens are securely locked in a smart contract on the TGE Chain to preserve value and prevent any duplication or synthetic inflation.

</details>

<details>

<summary>Does the buyer need to bridge tokens to participate in a trade?</summary>

While the buyer starts on the Listing Chain, they must manually initiate a bridge transaction after the trade to claim and move their new assets back to the TGE Chain.

</details>

<details>

<summary>Why are tokens locked in a smart contract instead of being moved directly?</summary>

Locking tokens ensures the assets remain native to their original chain while providing a verifiable and secure 1:1 backing for the trade occurring on the Listing Chain.

</details>

# Seller Settlement Flow

Simple steps to bridge and settle your order

### Before Settlement

* The seller owns tokens on the TGE Chain
* The order exists on the Listing Chain
* No tokens have been moved yet

### Initiating Settlement

When the seller clicks the Settle button, the system checks:

* The exact token amount required for this order
* Whether sufficient wrapped tokens already exist on the Listing Chain

<figure><img src="/files/EB5L6SKvPkhuzakcqmiL" alt="" width="381"><figcaption></figcaption></figure>

If the balance is insufficient, a bridge step is required.

### Bridging Tokens

The interface will display:

* The exact amount required to settle the order
* The bridge direction (TGE Chain to Listing Chain)

<figure><img src="/files/kBdgs0Os2Ve1v17wBGz7" alt="" width="369"><figcaption></figcaption></figure>

The seller must:

1. Switch the Network to the TGE Chain

<figure><img src="/files/PhdZOSlvNJZTGWpSDNce" alt="" width="361"><figcaption></figcaption></figure>

2. Approve and sign the bridge transaction

<figure><img src="/files/afyUE3CWhi7DlcD9JrJ2" alt="" width="306"><figcaption></figcaption></figure>

3. Wait for LayerZero confirmation, then click on Settle

**Note: The bridge process may take several minutes depending on LayerZero network conditions.**

<figure><img src="/files/cdiueZwRwmuBvkQ2LDYp" alt="" width="467"><figcaption></figcaption></figure>

### After Bridging

Once the bridge is confirmed:

* Wrapped tokens are minted on the Listing Chain
* Minted amount equals the bridged amount
* Tokens are backed **1:1** by locked assets on the TGE Chain

The original tokens:

* Are locked in a smart contract
* Remain owned by the seller
* Cannot be reused or withdrawn

### Completing Settlement

After sufficient wrapped balance exists:

* The seller click on settle and signs the settlement transaction

<figure><img src="/files/lm8w1E5jTaO4PeOfz61r" alt="" width="316"><figcaption></figcaption></figure>

* Assets are transferred according to contract rules
* Payment is released to the seller
* The order status updates to Settled

# Resell Position

A way to unlock your collateral even before the TGE!

Relentless collateral lock-ups in Pre-Market trading, sometimes take up to 6 months, leads to capital inefficiency, limit trading flexibility, and prevent users from adapting to market changes. This is especially challenging in volatile market conditions.\
\
Resell Position allows buyers to exit your Pre-Market position and take profit or stop loss even before the Token Generation Event (TGE). Similar to traditional markets like real estates, buyers are now in control of their capital once they find the right secondary buyers, thanks to the feature Resell Position.

# Mechanism

How does Resell Position work on Whales Market?

With the new Resell Position feature, buyers can now resell **their position of BUY ORDERS** to **Take Profit/**&#x53;**top loss** in the scenario where market condition shifts, even after the orders got filled.

{% hint style="warning" %}
In the first phase, the Resell Position mechanism will only apply to **buy orders**. Sell-side exits will be supported in future updates.
{% endhint %}

### 1. Resell Position Mechanism

Whales Market allows Buyers to exit their pre-market positions by reselling them before the token generation event (TGE), enabling greater flexibility and liquidity.

1. **Initial Trade**

The original seller creates a pre-market order to sell tokens. A buyer fills the order, and both parties lock collateral equal to the trade value to secure the agreement until the settlement date.

2. **Resell Opportunity**

Before the TGE, if the buyer decides to resell the position - due to market shifts or strategy changes - they can list the position for resale on Whales Market.

{% hint style="danger" %}
To safeguard buyer interests, orders cannot exceed a 80% increase from their original price
{% endhint %}

3. **Position Transfer & Collateral Flow**

When a new buyer accepts the resale order:

* The new buyer pays the resale amount directly to the original buyer.
* The original buyer's locked collateral is transferred to the new buyer as security for settlement.
* The original buyer exits the position with their capital returned and any realized profit from the resale.

{% hint style="danger" %}
Note: Once you buy a resell order, your funds are transferred directly to the creator of that resell order.

In some exceptional cases, although very rare, if a third-party project does not create a liquidity pool for the token on the blockchain that we have listed, we may have to cancel trading of that token. In such cases, the buyer of the resell order will have to accept a loss and will only receive back the collateral from the original buyer.
{% endhint %}

4. **Settlement Enforcement**

On the settlement date, the Seller must deliver the agreed tokens to the Secondary Buyer (the holder of the position at the time of settlement).\
\
If the original seller does not settle, the current buyer will receive the collateral from both the original seller and the original buyer.

***

## 2. Example&#x20;

* **A** sells $WLFI at **$0.10** → **B** buys **$1,000**.
* **B** resells at **$0.15** → **C** buys for **$1,500**.
* If **A** fails to settle, **C** receives collateral from both **A** and **B**, totaling **$2,000 excluding platform fee**.

***

### FAQ

<details>

<summary>What is the Resell Position mechanism?</summary>

This is a new trading mechanism that, in its first phase, applies only to buy orders. It allows the original buyer to resell their position before the Token Generation Event (TGE).

</details>

<details>

<summary>How does the initial trade work?</summary>

A seller lists a Pre-Market buy order for tokens. A buyer then fills this order, and both parties lock collateral equal to the trade value until the settlement.

<summary>How can a position be resold?</summary>

Before the TGE, the original buyer can relist their position for resale. This is useful for adapting to market shifts or changes in strategy.

</details>

<details>

<summary>How are the collateral and fund handled during a resale?</summary>

The new buyer pays the resale price directly to the original buyer. The original buyer's locked collateral is then transferred to the new buyer as settlement security. The original buyer exits the position, taking their capital plus any profit from the resale.

</details>

<details>

<summary>What happens during "Setllement Enforcement"?</summary>

At the TGE, the original seller must deliver the tokens to the current buyer. If the seller fails to do so, their collateral is forfeited and transferred to the current buyer, ensuring full compensation.

</details>

# Fees Structure

How fees are applied to both primary and secondary trades

Whales Market is committed to offering a flexible and transparent trading experience while maintaining platform sustainability through a minimal fee structure. Here's how fees are applied across different actions on the platform:

### **1. Settlement Fee**

* The final buyer (the one holding the position at settlement) and the original seller (the one delivering the tokens) will each incur a 2.5% fee based on the notional value of the trade.
* This fee is deducted from each party’s collateral during the settlement process.

### **2. Resell Position Fee**

* When a buyer resells their pre-market position before the token generation event (TGE), an extra 5% fee is applied to the resale order notional value. This additional fee is not eligible for any discounts.
* This fee is deducted at the time the resale is successfully executed.

***

### 3. Example

* A buyer purchases a position for $1,000. If they later resell it for $1,500, a 5% fee ($75) is applied to the resale order.
* At settlement, the final Buyer and original Seller each pay a 2.5% fee on $1,000 ($25 each).

### FAQ

</details>

<details>

# User Guide

How to trade with Resell Position

**Resell Position** is a feature on Whales Market that allows you to exit your pre-market position and either take profit or cut losses before the Token Generation Event (TGE). Here’s a quick guide on how to use it.

{% hint style="warning" %}
In the first phase, the resell position mechanism will only apply to **Buy orders**. Sell-side exits will be supported in future updates.
{% endhint %}

### 1. How to resell your position&#x20;

**Following these steps:**

1. To resell a position, go to the Dashboard or Trading Terminal of the token you purchased, then click **Resell** on your filled buy order.

<div><figure><img src="/files/g7FUgV515WdQuYPEsvIU" alt=""><figcaption></figcaption></figure> <figure><img src="/files/wVuHgIUlxt6oyAyhDUuz" alt=""><figcaption></figcaption></figure></div>

2. Next, enter the amount and set your price.

{% hint style="danger" %}
To safeguard buyer interests, orders cannot exceed a 80% increase from their original price.
{% endhint %}

<figure><img src="/files/vJI4aU5fS9wESTMfQ4im" alt=""><figcaption></figcaption></figure>

3. Confirm transaction&#x20;

<figure><img src="/files/oeIK7oqYburLvWoaLoXS" alt=""><figcaption></figcaption></figure>

### 2. How to buy a Resell Position

**Following these steps:**

1. To buy a Resell Position, go to the Trading Terminal of the token you want to purchase, select an order tagged **“RS”**, and then enter the amount you want to buy.

<figure><img src="/files/3LoV58Iqmy6ldbNKdkDZ" alt=""><figcaption></figcaption></figure>

2. Confirm you understand the risk

<figure><img src="/files/7wzjZqpMbwjcPiUxMnBl" alt=""><figcaption></figcaption></figure>

3. Confirm your resell order

<figure><img src="/files/7kLYXQamFllee5ouiUQI" alt=""><figcaption></figcaption></figure>

### 3. Resell Position risk

When you buy a Resell Position, the system evaluates the previous buyer profit to determine its risk level.

**There are 3 possible risk levels:**

* **Low-Risk (Prev Buyer Profit < 50%)**

No warning message will appear. You can purchase the position as usual.

* **Medium-Risk (Prev Buyer Profit ≥ 50% and < 75%)**

A Medium-Risk warning will be displayed. The position carries a moderate level of risk, so consider carefully before buying.

<figure><img src="/files/ybw0iFLAtxancFktslUn" alt=""><figcaption></figcaption></figure>

Example:

> Original price: $0.10
>
> Resell entry price: $0.16
>
> Previous Buyer Profit = +60%
>
> → This falls between 50%–75%, so the system will show a Medium-Risk warning.

* **High-Risk (Prev Buyer Profit ≥ 75%)**

  A “High-Risk” warning will be displayed.

<figure><img src="/files/iUA4Pkb09jBVXtrM1UNR" alt=""><figcaption></figcaption></figure>

Example:

> Original price: $0.10
>
> Resell entry price: $0.18
>
> Previous Buyer Profit = +80%
>
> → This is above 75%, so the system will show a High-Risk warning and require your confirmation before buying.

# Staking Mechanism

Stake $WHALES to get a discount on trading fees.

### 1. Overview

When you stake `$WHALES`, you receive **$xWHALES**—a derivative token with two main uses:

* **Trading fee discounts**: Pay lower fees across Whales Market platforms.
* **Collateral**: Use $xWHALES as collateral in OTC trades.

<figure><img src="/files/RkJUl2ICAfbu4q5agFtg" alt=""><figcaption></figcaption></figure>

***

### **2. Staking mechanics & $xWHALES growth**

* The staking contract holds both `$WHALES` and `$xWHALES`.
* When you stake `$WHALES`, you receive `$xWHALES`. Holding `$xWHALES` increases your share of protocol-generated rewards over time.

***

### **3. Withdrawal & liquidity**

* You may withdraw and convert your `$xWHALES` back into `$WHALES` at any time.
* `$xWHALES` is tradable, though not officially listed on Solana DEXs yet. Its conversion to `$WHALES` is only guaranteed through the staking mechanism.
* Rewards are paid in `$WHALES` but purchased on the open market, which means staking doesn’t inflate supply. `$WHALES` token distribution from incentive emissions follows a separate 4-year vesting schedule.

# Referral Mechanism

Earn up to 50% of your referral trading volume

### Introduction

The Referral Program encourages the community to promote Whales Market and allows participants to share platform fees up to 50%. All users of Whales Market can join the Referral Program, whether regular users or KOLs.

\
To participate, you first need to create a Referral Link. Then use this link to invite other users to join Whales Market.

***

### Referral Rewards Structure

#### Formula

Total Referral Share % = Base Ref % + Tier Bonus % + Stake Boost % (maximum 50%)

**Note: Stake Boost will take effect once the new staking mechanism is implemented.**

Definitions:

**1. Base Referral**

The standard referral rate is 20%, subject to adjustment on a per-campaign basis; each campaign corresponds to a specific token listed on Whales Market.

**2. Tier Bonus**

Tier bonuses are based on total qualified volume within a single campaign.

| Qualified Referral Volume | Tier Bonus | Total Commission (Base + Tier) |
| :-----------------------: | :--------: | :----------------------------: |
|     $10,000 - $50,000     |     +0%    |               20%              |
|     $50,000 - $200,000    |    +10%    |               30%              |
|         $200,000+         |    +20%    |               40%              |

Important Notes:

* The highest volume tier reached applies to the entire campaign volume.
* &#x20;Volume resets with each new campaign.

**Examples**

**User A: referral volume $40k**\
→ 20% + 0%  = 20%\
Total fees: $1,000 → Referral earnings: $200.

**User B: referral volume $150K**\
→ 20% + 10%  = 30%\
Total fees: $3,750 → Referral earnings: $1,125

**User C: referral volume $800K**\
→ 20% + 20% = 40%\
Total fees: $20,000 → Referral earnings: $8,000

3. **Stake Boost**

Coming Soon...

## Qualified Volume

* Buy, Sell, and Resell orders: only the filled and settled portion is counted. Claimed collateral is counted.&#x20;
* Not counted: canceled offer, platform decides to cancel a premarket.

## Payout

The payment process is automatically handled by the smart contract and occurs at the moment orders are settled during the settlement phase. The payout asset is the campaign listing’s fee asset.

# FAQ & Examples

Too complicated? We are here to provide solutions

### Examples

#### Example A: Simple Team

* Alice (Leader) invites Bob → Bob becomes Member.
* Bob invites Carol → Carol is Bob’s Referee, but under Alice’s team.
* When Bob trades: Alice earns 40% of the fee.
* When Carol trades: Alice earns 40% of the fee.
* Bob earns 0% from Carol.

#### Example B: Referral → Member Coexistence

* Zoe referred Dan months ago (Referral Program).
* Zoe later joins Alice’s team as a Member.
* When Dan trades:
  * Zoe still receives her referral share (from Dan’s own trading, as before).
  * Alice (Leader) receives nothing from Dan’s trading fees.

Any new users Zoe invites now become Referees under Alice’s team; Alice earns from them; Zoe does not.

### 2. How smart contracts work

Smart contracts are the backbone of **Whales Market OTC (Over-the-Counter) trading**, ensuring fairness for both buyers and sellers:

1. **Collateral Locking**
   * Both parties deposit collateral into the contract.
   * This guarantees that buyers get their purchased points and sellers receive their payment.
2. **Automated Settlement**
   * Once the trade conditions are met, the smart contract **automatically releases funds** to the seller and points (or corresponding tokens post-TGE) to the buyer.
3. **Risk Mitigation**
   * If a seller fails to settle, the contract transfers the seller’s collateral to the buyer as compensation.
   * This **trustless enforcement** eliminates scams common in off-chain OTC deals.
4. **Global Accessibility**
   * No matter where users are located, the rules are the same **on-chain, transparent, and verifiable**.
